Terms and Conditions of Service

1. Parties and Identification

These terms of service (the "Terms") govern the relationship between you (the "Customer") and Delta Fuji Technology S.L. ("Delta Fuji"), registered in Madrid, Spain. Contact: hello@deltafuji.com.

By registering and using the Delta Fuji platform, you confirm that you have read, understood and accepted these Terms in full. If you do not agree, do not use the service.

2. Service Description

Delta Fuji is a SaaS (Software as a Service) platform for automated matching of supplier invoices against delivery notes and commercial agreements. The service includes:

  • Document capture (manual upload, email integration and WhatsApp integration).
  • Automated data extraction from invoices, delivery notes and agreements.
  • Three-way matching (invoice vs delivery note vs supplier agreement).
  • Detection of price, quantity and terms discrepancies.
  • Report generation and data export (CSV, Excel, API depending on plan).

Delta Fuji is a verification and reconciliation tool. It does not replace certified invoicing software or your ERP. Data validated by Delta Fuji is exported for integration with your management systems.

3. Registration and Account

  • You must provide truthful, complete and up-to-date information when registering.
  • You are responsible for maintaining the confidentiality of your access credentials.
  • All activity under your account is your responsibility.
  • You must notify us immediately of any unauthorised use of your account.
  • We reserve the right to suspend or cancel accounts that breach these Terms.

4. Plans, Billing and Payment

The commercial terms are as follows:

  • Monthly subscription: the subscription fee is billed monthly in advance and determines your applicable per-page rate.
  • Per-page consumption: processed pages are billed at your plan's rate (text or OCR), accumulated during the billing period.
  • Annual subscription: available at a 20% discount on the monthly rate, billed annually in advance.
  • Payment processor: all payments are processed through Stripe, Inc. We accept credit/debit cards and SEPA direct debit.
  • VAT: published prices exclude VAT (21% in Spain) unless expressly stated. Your invoice will include applicable VAT.
  • Non-payment: access to the platform will be suspended immediately once your subscription is no longer active.

5. Cancellation and Refunds

  • You may cancel your subscription at any time from the billing dashboard.
  • Cancellation takes effect at the end of the current billing period. You retain access until that date.
  • No pro-rated refunds are offered for mid-period cancellations.
  • After cancellation, your account data is deleted within 30 days in accordance with our Privacy Policy.
  • You may export all your data before cancellation.

6. Acceptable Use

You agree to use the platform solely for legitimate business purposes. The following are expressly prohibited:

  • Sharing access credentials with unauthorised third parties.
  • Attempting to access other users' data, accounts or systems.
  • Using the service for illegal, fraudulent or bad-faith purposes.
  • Reverse engineering, decompiling or attempting to extract the software's source code.
  • Uploading documents containing malware, malicious code or illegal content.
  • Using the platform to generate fraudulent tax documents.
  • Intentionally overloading systems or interfering with the service.

7. Intellectual Property

  • Our property: Delta Fuji, its software, algorithms, interfaces, brand, logos and documentation are the exclusive property of Delta Fuji Technology S.L. You are granted a limited, non-exclusive, non-transferable and revocable licence to use the platform in accordance with your subscription plan.
  • Your documents: documents you upload (invoices, delivery notes, agreements) remain your exclusive property. You grant us a limited licence to process them solely for the purpose of providing the contracted service.
  • Generated data: reports, statistics and matching results generated by the platform from your documents are your property and you may export them at any time.

8. Data Protection

The processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. With respect to the processing of documents containing third-party personal data (suppliers, customers), Delta Fuji acts as a Data Processor under Art. 28 GDPR.

9. Availability and Service Level

  • We commit to 99.5% monthly service availability, excluding scheduled maintenance windows.
  • Scheduled maintenance will be notified at least 48 hours in advance by email and within the platform.
  • In the event of a critical incident, Delta Fuji will use its best efforts to restore the service as quickly as possible.

10. Limitation of Liability

  • Delta Fuji is provided "as is" and "as available".
  • We do not guarantee 100% accuracy in document data extraction. Automated extraction may be affected by original document quality, non-standard formats or scanning errors.
  • You are responsible for reviewing matching results before making commercial or tax decisions based on them.
  • Our maximum aggregate liability is limited to the total subscription amount paid by you during the preceding 12 months.
  • In no event shall we be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business.

11. Changes to These Terms

We reserve the right to modify these Terms. Changes will be notified by email and published on this page with at least 30 days' advance notice. Continued use of the service after the effective date of changes constitutes acceptance of the new Terms.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with Spanish law. For any dispute arising from these Terms or the use of the service, both parties submit to the exclusive jurisdiction of the courts of Madrid, Spain.
